Terms of Service

1. Who we are

Khai is a product of CoreElement Inc., a Delaware corporation ("CoreElement," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of Khai software, the getkhai.com website, and any related services (collectively, the "Services"). By installing Khai or creating an account you agree to these Terms.

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts in your jurisdiction. By using the Services you represent that you meet these requirements. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization.

3. The Khai software

Khai is a bundle of Claude Code skills and MCP connectors that runs on your own computer using your own Anthropic API key or Claude Code subscription. We do not operate the AI model. Anthropic's terms apply to your AI usage separately.

When you subscribe to Khai, we grant you a limited, non-exclusive, non-transferable license to install and use the Khai software on machines you own or control, for your personal or internal business use, for the duration of your active subscription.

4. Subscriptions and billing

Khai is sold as a monthly or annual subscription. Billing is handled by LemonSqueezy, our Merchant of Record. Your subscription renews automatically at the end of each billing period unless you cancel before renewal.

All prices are in USD. Taxes may be added at checkout depending on your location. LemonSqueezy is responsible for tax collection and remittance where required by law.

Cancelling your subscription stops future charges. You retain access through the end of the current paid period. The Khai software already installed on your machine continues to function after cancellation using your own Anthropic credentials; weekly skill updates stop.

5. Acceptable use

Your use of Khai is subject to our Acceptable Use Policy, which is incorporated into these Terms by reference. In brief: use Khai for lawful purposes only, do not attempt to reverse-engineer or redistribute the software, and do not use it to harm others.

6. Your data

Khai processes your data locally on your machine. We do not store, read, or transmit your emails, calendar events, files, or AI conversation content. Our Privacy Policy describes what limited data we do collect (account information, billing data, anonymized usage metrics). See Privacy Policy.

7. Intellectual property

All rights, title, and interest in and to the Khai software, including all associated intellectual property rights, remain with CoreElement Inc. These Terms do not grant you any rights to our trademarks, logos, or brand features.

8. Disclaimer of warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COREELEMENT INC. AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICES IS LIMITED TO THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Termination

We may suspend or terminate your account if you violate these Terms or our Acceptable Use Policy, at our discretion. You may stop using the Services and cancel your subscription at any time from your account page. Sections 7, 8, 9, and 11 survive termination.

11. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Any disputes arising from these Terms or the Services shall be resolved in the state or federal courts located in Delaware, and you consent to personal jurisdiction there.

12. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice in your account. Continued use of the Services after changes take effect constitutes your acceptance of the revised Terms.
